In era of knowledge-driven economy, the intelligence capital has been becoming the most rare resource for the social and the economy development ,and the key and the determined factor for enterprises' sustainable development and the improvent of competitive ability as well. The knowledge workers who own the intelligence capital has been the major people for the development and the innovation of the enterprises. They own more intelligence capital, eager for more independence and freedom in their work, easy to change work , at the same time, the enterprises need lots of knowledge workers, all these reasons make the traditional contract doesn't work anymore. So the Psychological Contract as an informal contract between the enterprise and the staff has been paid more attention and wide range of interests and introduced in the field of human resourse management . With the rising importance of the knowledge workers in the enterprise ,how to encourage the knowledge workers effectively from the sight of the Psychological Contract has been an important theme in the human resource management and the organizatoinal behavior.This papers takes the incentive factors and the motivation situation of the knowledge workers based on the Psychological Contract as the main study object. This study began from the learning of psychological contract and the motivation theories, according to the characteristics and the needs of the knowledge workes,analysed the motivation situation of the knowledge workers,then, we obtained the first-hand information by the quo ,and analysed the information with SPSS statistical technology and blur compositive evaluating methods,at last ,we got three conclusions as followed.(1)There is a big difference between the incentives in our country and the foreign countries that in our country the primary incentive is still the material incentive.(2)There are many differences between the demands of konwledge workers when they are different gender, different education levels and different types of work.(3)The satisfication of the knowledge workers' motivation is not very high, especially the levels of salaries and benifits and the career plannings is quite lower.
