| Industrial cluster is referred to the identical industrial enterprises as well as the related industrial or the supported industrial enterprises highly concentrated in the specific geographical area. The massive experience of different countries economic development indicated that the industrial cluster had a vital significance to the promotion of the regional economic growth. Therefore, how to promote industrial cluster's formation and its development have become a hot topic of the theoretical research. The researchers try to explain industrial cluster's formation by using both theories and real case studies, hence to help analyze the different methods of industrial cluster's development.New institutional economics of western economics proposed that industrial cluster belonged to a kind of middle institutional economic organization, it can reduce enterprise's transaction cost as well as clarify the boundary of property right. Therefore, we can obtain some beneficial enlightenment by analyzing our country's industrial cluster's formation and development. Take it into consideration, this article utilizes the new institutional economic theory systematically as the theory and method basis of which analyze industrial cluster's formation and development ; then elaborates industrial cluster's formation and development mechanism from the organizational structure, property right theory and transaction cost theory; Finally uses real case on the industrial cluster's development in Jinjiang to further the analysis of its intrinsic character, and constructively offer the political suggestion of how to promote industrial cluster's development in terms of system innovation. The paper launches from the following four aspects:1st. Literature summarization of industrial cluster theory. This paper begins with discussing the evolution of the western industrial cluster's theory, the domestic industrial cluster's research condition and its theory commentary , primarily proposes industrial cluster's analysis frame based on the new institutional economics. 2nd.The analysis of industrial cluster's organizational structure and property right. Firstly it explains industrial cluster's concept and the basic characteristics, followed by illustrating that industrial cluster is the middle industrial organization based on the foundation of industrial cluster's organizational structure. Lastly, from the perspective of property right, it elaborates industrial cluster's development condition as well as property right system innovation and its influence on industrial cluster's development.3rd.Division of labor cooperation, transaction cost and industrial cluster's development. It is considered that industrial cluster formation is a kind of spatial presentation which derives from the specialized division of the increasing labor rewards. It is the evolution of deepening labor division and increasing transaction efficiency. As a result, this article points out that the industrial cluster is the"new system"that can effectively reduce the transaction cost.4th.System arrangement and industrial cluster's development. Followed by the previous analysis, this article takes the industrial cluster in Jinjiang as an example to analyze our country's typical industrial cluster modeling comparatively. By using the real case of the apparel industrial cluster in Jinjiang, this article pinpoints some existing problems regarding the property right and transaction cost both qualitatively and quantitatively.
