With the rapid development and deep application of Information Technology (IT), IT system has changed from the traditional background support to a direct driving force of the new business, even as a direct enterprises'profits center. Enterprises and organizations depend more and more on the information system, and IT assets becomes one of the most important assets in enterprises, more and more high-level managers recognized that IT assets and the ability of making good use of IT assets is much more important to enterprises. And this needs to relocate IT for stakeholders in how to make value.Because of the high risk and failure rate of IT projects, we need to consider the combination of IT strategy and business demand before making decision. Meanwhile we should do technical and economic argumentation thoroughly, such as the advancement and feasibility of the projects, the feasibility of the implementation in finance, the reasonableness and effectiveness in economy, and the project management in implementation, monitoring and performance evaluation after the project. Therefore a good IT governance mechanism is necessary. This paper introduces decision-making and responsibility frame in the view of mechanism arrangement, and based on current standard of IT governance, we build up a set process, standard and performance evaluation system of IT governance that fits for TIANHONG COKING&CHEMICAL company.This paper mainly analyses IT governance's executor, object and its extension, and involved IT strategy, decision-making frame, governance mechanism, and communication mechanism. Based on the research of theory and case study, this thesis finds the way to implement IT governance in stateowned enterprises.
