Along with the rapid development of science and technology, the economy is becoming increasingly globalization, and the market diversification and customization. The key resources of enterprise are from the capital into information, knowledge and creativity. Enterprises are facing even greater pressure than ever on improving efficiency and gaining a competitive edge because of Changing on technical aspects and the updating knowledge. Many large companies are changing the traditional approach. They only concentrate on their own core competitiveness with the functions and operations, and those operations what can be completed by external forces are outsourced.Studies of western scholars on the outsourcing were focused on transaction costs and core competitiveness, but on the micro-level, how the transaction costs impact business outsourcing decision-making was ignored. Chinese scholars' studies were mainly concentrated in the outsourcing classification. The theoretical system of outsourcing needs to be further build and perfect. The modern enterprises in the fierce market of competition desire extremely introducing resources outsourcing——the new model of management as soon as possible . The emergence of conflicts is inevitable. The most urgent task is to study resource outsourcing systematically, so solve the problem at the height of theory, then help companies to smoothly implement outsourcing.In recent years, the United States, Japan, the European Union and other developed countries, and China, India, as the representative of the developing countries are all involved into the economic wave of outsourcing. However, their roles in the outsourcing activities are different. Developed are mainly contract States, relatively, developing countries are major contract. For strategic planning, cost control and increasing their core competitiveness, and other reasons, the enterprises' scope and scale of outsourcing has seen unprecedented development in China, but compared with developed countries, that is still in the embryonic stage. This paper systematically analyzes the economic incentives of outsourcing through the division, the core competitiveness and other views. It analyzes the risks faced also. Particularly, this article uses a new classical economics model of division to analyze the impact of economic specialization and transaction costs on the decision-making process for enterprises outsourcing. From the perspective of combination of division of labor and transaction costs, it can give a better understanding of business outsourcing phenomenon and the development of decision-making and provide a theoretical basis. Through a comparative analysis of the outsourcing model and policies in deferent countries, and regard of Chinese national conditions, some suggestions are provided to China's enterprise managers and the Government.
