As a theory to advance the core competence of enterprise with limited source, virtual enterprise has universal applications in construction industry theoretically, but many problems arise when it comes to practice. Aiming at the tradeoff between flexibility and stability of virtual construction enterprise, this thesis proposes that virtual construction enterprise can increase its stability by designing reasonable contracts.Based on the virtual enterprise theory and the contract theory, combining with the characteristics of domestic construction industry, this thesis adopts the theoretical research method to exhibit its ideas. Firstly, it analyzes the concept, characteristics and the fundamental operation model of virtual construction enterprise. Secondly, it brings out some factors that can influence the stability of virtual construction enterprise. They are resource complementarily, proceeds and risk distribution, cooperation, trust, knowledge sharing, cultural fusion, organizational structure, management level, management strategy and external factors. Thirdly, it puts forward a contract network model of virtual construction enterprise, and analyzes the importance of the model, especially the alliance contract which is the core of the contract network. Finally, according to the factors mentioned above, the thesis advances the fundamental principles and a content framework of the alliance contract. In particular, it analyzes six restrictive mechanisms which are entry and exit from the alliance, profit and risk distribution, motivation and punishment, performance evaluation, knowledge sharing and conflict management.The achievement of this thesis provides a reference model for the contract platform of virtual construction enterprise, which is significant to the application and advancement of the virtual enterprise theory in domestic construction industry.
