Since the 1990s of twentieth century, one of the important trend in the globalization was transnational mergers and acquisitions (M&A) have been the main pattern of international dirent investment. Not only in developed countries, but also in developing countries, the amount and scale of transnational M&A are increasing rapidly . In china, by the encouragement and sustainment of "go out" stratagem , more and more enterprises want to use this method to enlarge its scale and gain advanced know-how in short time. Many enterprises are successful,but many are aborted in the cases of Chinese enterprises overseas M&A. There are a lot of causes that result in the abortion of Chinese enterprises overseas M&A, such as the blindness of selective object,the lack of experience,the misplay of operation,the risk of politics,the risk of finance and so on. But in my opinion, one of important cause is that Chinese enterprises know few the labour's status ,the labour law and policy ,the labour's culture of the host country,accordingly the cost and risk are increasing.The second chapter to sixth chapter of this paper analyzes all aspects of labour problems in the course of Chinese enterprises overseas M&A. The second chapter emphasizes on the importance of comprehensive understanding of labour law and policy of host country in the course of Chinese enterprises overseas M&A. The third chapter awakes Chinese enterprises of protection of core labour rights. The fourth chapter discusses the influence of International Labour Standards in the development of overseas M&A enterprises, suggests to enhance the labour standards and take more social responsibilities.The fifth chapter focuses on how to settle labour disputes in the course of Chinese enterprises overseas M&A. The sixth chapter make out the reasons of labour culture conflict and presents subsequent cultural risks, shows weightiness of labour culture integration of Chinese enterprises'overseas M & A,and put forward the strategy of labour culture integration. The main object of this paper is by discussing the labour problem in the course of Chinese enterprises overseas M& A completely to find the strategy and ways to solve this problem,in order to reduce the blindness and risks,to decrease the cost,to translate the capital to competitive advantages.
