2008 is the 30th anniversary of China's Reform and Opening-up.FIMA(foreign capital mergers and acquisitions),the special economic form which accompanied by the Reform and Opening-up,has also experienced a period of infancy,exploration, development and active,traversing a 16 years Course. In 2005,the merger case of"Carlyle-XuGong",with an unprecedented attention, leads to this import.ant topic,"FIMA threats China's economic security".This paper was bom in this context. About the FIMA,the paper's view is that:Firstly,its outstanding contribution in promoting China's economic development and enterprise restructuring is necessary to affirmed.Secondly,its impact on China's economic security can not be ignored and we should carry out strict supervisions and preventions on FIMA.Thirdly,not all FIMA cases impact the economic security.This proposition needs concrete analysis of concrete problems.Fourthly,there are also many defects in China's FIMA monitoring system.It should be actively improved and perfected. Based on this idea,the paper is divided into six parts. The first part includes the first introductory chapter.This part described the research background and significance.It reviewed the development course of FIMA and introduced its overall situation at this stage.The second part includes chapterⅡ.It focuses on the introduction of the theories about the acquisition of foreign capital and national economic security.The related definitions of this paper are also defined in this part.The third part includes chapterⅢ.From the status of FIMA's industry involvement, this part identifies the situation and extent of the FIMA control.And then from the market structure,policy about the foreign capital and the contrast between domestic and foreign enterprises,this paper analyses the possibility of FIMA impacts our country's economic security.The five ways of how FIMA threaten the national economic security are focused on.The fourth part includes chaptersⅣandⅤ.The regulatory measures of china and other countries are introduced in this part.And from the contrast,the deficiencies of china's supervisory system are pointed out.The fifth Part includes ChapterⅥ,conclusions and recommendations.Based on the analysis of the before five chapters,this part brings forward three conclusions and proposals on how to safeguard national economic security. The sixth part includes ChapterⅦof case studies.This paper chooses the "Carlyle-XuGong case",which have a wider impact and typical representative,as the end of this paper.This chapter describes the course of the case,and makes a summary of the idea about the national economic security,then points out the author's own views.
