With China's entry into WTO and the development of integration with the global economy, the fights for talents are even more intense. As has been influenced by traditional planned economy system for a long time, state-owned enterprises keep talents by monopolization, at the same time, ignoring the idea of "For the people" and the effective encouragement to talents which leads to a great deal of brain drain and bring enormous loss to enterprise. Therefore, structure talents' incentive mechanism of state-owned enterprise again, in order to attract, retain staff arouse the enthusiasm of talents and creative; offer the favorable guarantee for participating in the market competition and international competition in enterprises.Basing on the theory of human resources and encouraging, the paper deeply dissects the reason of brain drain is that the lack of effective incentive mechanism of talents, with elaborating its present situation and character of state-owned enterprises. The paper discusses personnel from psychological research, mechanisms research and empirical research of state-owned enterprises incentives. In psychological research, the paper researches encouraging psychology from the needs, motivations, actions, targets and analyzes talent pattern of state-owned enterprises. Establishing psychological contract of state-owned enterprises to achieve unity of purpose; In the mechanism research, the paper proposes the foundation, principle of incentive mechanism, describes the problem of China's state-owned enterprises, and proposes the solutions; in empirical research, the paper selects the Taiyuan Heavy Machinery Group Co. as a research object, collects information by surveying and interviewing, uses the principal component analysis of the factors, analyzes the information from population variables and encourages state-owned enterprises personnel suggestions and comments.
