Merge rand acquisition (M&A) is an economy action to control other corporations by property transactions under market economy conditions, it is an growth strategy of corporation to rapid expansion and enhance competitiveness, it is also an important means to achieve national economic restructuring and re-allocation of resources. With the rise of a new round of global M&A wave, China also sets off an upsurge of M&A. After joining the WTO, the competition that China's enterprises face will become fiercer, as an important mean of expanding scale and enhancing competitiveness, M&A is a quick shortcut. But Chinese and foreign enterprises' practices have proven this point: M&A lost more than success, integration is an important factor. Human factors have played a key role in the integration of many enterprise resources.Through analyzing the tremendous influence of integration of human resources to M&A performance, this thesis systematically sums up the relevant theories of integration of human resources in M&A, analyses the existing problems of integration of human resources in M&A, and proposes countermeasure of integration of human resources in M&A finally.This text is divided into five parts altogether. The first part is a preface, introduces the background and meaning of the research, present research conditions of domestic and overseas, the content and methods of the research. The second part analyzes the problems of integration of human resources in M&A, on the basis of existing literature and practice cases, divides the process of human resources into three stages: preparation, integration and amalgamation. The third part gives some practical countermeasure for integration of human resources in M&A, on the basis of problems, including the establish of integration group, investigation work, strategy of integration of human resources, survey of human resources, the evaluation, reduce and training of employee, sum up an procedure of integration of human resources in M&A. The forth part takes two examples as representative to prove the conclusion. The fifth part is the last one, which concludes the main viewpoints and lack of research.
