The M&A(mergers and acquisitions) of an enterprise is an important form in capital restructuring, a senior form in management, and also the crucial means to achieve strategic expanding and Synergy Effects. However, for the risk in M&A, and its danger to an enterprise's subsistence and development, to prevent and avoid risk is of vital importance. That is the significance of this paper's research.This thesis analyzes and appraises risks of New XW Group's non-related diversified chemical M&A with comprehensive applying knowledge of relevant subjects such as Industrial Organization, Strategic Management, and Marketing, etc.. There are six chapters in the thesis with specific study contents as following.Chapter One introduces the background, significance, research line and content of this topic, and the development of New XW Group. Related theories are defined in Chapter Two. Chapter Three describes private enterprises' current situation, characteristics and opportunities, and then expands the development of New XW Group's M&A and combination at present, making marketing analysis and prospects of relevant chemical industries, and the feasibility for New XW Group's entering. By Chapter Four's analysis of internal and external environment in Group's non-related diversified chemical M&A, it comes to the conclusion that it is necessary and capable for Group to carry out. Chapter Five draws the feasibility of Group's chemical M&A according to SWOT and makes clear its own advantages and disadvantages by Benchmarking Comparison with domestic dominating enterprises so as to foster strengths and circumvent weakness. Chapter Six tables proposals on M&A process and raises requests of restructuring.This thesis is to analyze strategies and rationality of New XW Group's chemical M&A and risks in it, which can help draw experience and lessons in chemical industries' M&A and point the developing way out while offering the reference for other large-scale Private Enterprises in China to M&A and expand.
