Study Of Corporate External Governance Based On Inter-Organization

The boundary of firm is the point by which marginal transaction costs of market equals to marginal organizational cost of enterprise. The existence of mid-organizations makes the boundary of firm indeterminate. It becomes very important that how to perform governance between organizations, under the circumstance of blurring boundary of firm. Current studies show that governance structure is undeveloped on information acquisition, transmission, use and feedback. It cannot adapt to rapidly changing environment and is incapable of dynamic group governance. The whole effect of governance is weakened. In a reality that cyber economy becoming a feature of management, how to use the relational network between firms, realize and maintain competitive advantage is a new issue in face of corporate governance. This paper tries to study the corporate governance inside dynamic organization. It is going to complete the theory of corporate governance and supervise governance practice.Firstly, using research method of documents , this article summarizes the related studies of mid-organization and corporate governance. Combined with transaction costs, it forms theory evidence of this paper. It also analyses research status quo of mid-organization and corporate governance. Secondly, this paper uses a typical form of mid-organization-enterprise clusters as the starting point to study on corporate governance mechanisms within mid-organization. In this part, we propose the governance and describe the existing reason of Enterprise Cluster. After governance environment, we propose there important parts of Enteiprise Cluster governance: contract governance mechanism, social cluster governance mechanism and third-party intervention, and get a result that the goal of cluster governance is coordination and maintenance. Then this paper introduces Datang socks Enterprise Cluster, analyze its cluster governance, test the theory proposed in second part and bring forward the recommendations to enterprise cluster governance. Finally, this paper sums up the contents of the article, propose the limitations of this article, and prospect future development of the academic.There are kinds of mid-organizations. Because of the limited of this article and the shortage of the author's ability and energy, we cannot study all the forms of mid-organizations. This article only picks up corporate within enterprise cluster as a cut-in point to study on external governance.
