The research related to knowledge transfer within transnational corporations began from 1980s, as China's market is increasingly becoming hotspot for foreign investor, some scholars began to study cross-border knowledge transfer related to China in the end of the 20th century and had achieved some results. But, these studies were all carried out on the basic that Chinese enterprises as international investment targets, thus had little meaning for knowledge acquisition after Chinese enterprise overseas M&A.The existing cross-border M &A Motivation theory has not fully explained all the overseas M & A behaviors happened in China presently, except reducing costs and achieving resources, that acquiring knowledge through overseas M & A, then improving their own level and explore new international markets have attracted more and more attention for Chinese enterprises.The roles of parents and subsidiaries have been toppled in the knowledge acquisition process after China's Overseas M&A. The role of global innovation used to be played by parents has been replaced by subsidiaries which have a more powerful technical force, and although parents still shoulder some mission to create knowledge, integrating and transferring the knowledge have became their main work.The influencing factors of the knowledge acquisition after Chinese enterprise overseas M&A could be concluded by the following four aspects: Endogenous Influencing Factors (The Knowledge' s Tacit Characteristic; The Accumulation and Embeddings of Knowledge); Dominant Influencing Factors (Role of Overseas Subsidiaries and Knowledge Transfer Capacity; Chinese Enterprises' Strategic Intentions and Knowledge Absorptive Capacity); Situational Influencing Factors (Distance; Interfere of the Host Country Political and Social Power); Supporting Influencing Factors (Transnational Knowledge Transfer Mechanisms; The Change of Human Resources After M&A; The Change of Debt Levels and Technical Attention After M&A) .There are several methods as follows that can be tried to upgrade the performance of the knowledge acquisition after Chinese enterprise overseas M&A: 1. Concerning the property characteristics of knowledge, enriching accesses of knowledge acquisition; 2. Making clear strategic intention, Improving knowledge Transfer Capacity; 3. Estimating the risks of M&A, reducing the negative impacts of distance;4. Matching transnational knowledge transfer mechanisms, regarding the use of tools;5. Enhancing cross-border human resources integration capability; 6. Broadening the financing channels, ensuring cash required flow smoothly.
