In the age of knowledge-base economy, competitive power of enterprise manifests in its knowledge superiority, the goal of M&A transfers knowledge from tangible resources, this change poses a new challenge for post-merger integration.The strategic objective of M&A is the knowledge's synergistic effect of two sides of M&A. This dissertation presents Domestic enterprises as research subject, studies a wide range of theories, including knowledge integration, post-merge integration, combines the theoretical research and case study, and construct the analytical framework of the knowledge integration of overseas M&A by Domestic enterprises.Based on theoretical analysis, this dissertation explores the implementation of the knowledge integration of overseas M&A of Domestic enterprises. This dissertation divides this process into three stages, protection stage, symbiosis stage, synergy stage separately. A loss of abundant knowledge of merged part will not happen because of the M&A, which is the main task of the protection stage. The strategic goal of M&A is failed to reach because most practices of Domestic enterprises' knowledge integration are failed in this stage. Rash integration will result in mass conflicts because the difference between the knowledge systems in two sides of M&A is too large. So the symbiosis stage is necessary. The third stage is synergy stage, its main task is innovate new knowledge on the base of achieving the knowledge fusion between two sides of M&A.This dissertation analyses the dominant influencing factors of each stage separately. This paper argues that the effectiveness of protection is affected mainly by the process of M&A in the protection stage, such as the fairness of M&A' procedures, communication mechanism; the differences of organizations between two sides of M&A will affect this stage in the symbiosis stage, such as the differences in both organizational culture before M&A, the differences in organizational structure; the abilities of organization, such as learning ability, absorptive capability, will determine the result of this stage.This dissertation makes the following promotion measures to smooth the process of knowledge integration. Firstly, the employee's psychological contract needs to be reconstructed. Knowledge, especially tacit knowledge is present in the minds of staff; the staff of merged part will be excited to share the tacit knowledge by reconstructing employee's psychological contract and restoring the organizational trust. Secondly, the knowledge of two sides of M&A will flow smoothly in both formal and informal organizations according to the adopting of organizational construct. The informal organizations based on interests and hobbies, will promote employee's tacit knowledge externalization and socialization effectually. Third, the organizational culture's integration establishes a base for the knowledge integration. Heterogeneous culture will bring a mass of conflict which will destroy the knowledge integration, but homogenous culture will push forward the goal. In the end, this paper considers that targeted incentives will smooth the progress of knowledge integration.In the case study, this dissertation describe and analyze the activities of Knowledge Integration after Legend Buys IBMPC, evaluate the process, result and the measure, and summarize some experiences and lessons for domestic enterprises' activities.This dissertation, which presents Domestic enterprises as research subject, research on the progress, the dominant influencing factors and the promotion measures of the knowledge integration of overseas M&A. This paper makes up the lack of relevant theories, as well provides direct guide for Domestic enterprises' knowledge integration. Because of the limit of time, energy and space, the other aspects will be considered in the further research.
