Energy problem has become one of the key constraint issues to human beings'sustainable development. CNPC is one of China's three major oil companies, and it makes extremely significance to do research on CNPC's growing in the fierce competition market for maintaining China's social stability, economic development.Based on the introduction of oil industry and related background, the paper finds internationalized oil engineering company's multi-project, cross-regional, multi-cultural participation trends, and the requirements on multi-tendency organization and management structure. Through the analysis of CNPC overseas projects background and conditions, obtained CNPC's innovation goals on organization and management structure. Then, according to related theories, this paper establishes a new integrated structure combined with Project Management Office and matrix model.This model addresses three aspects of multi-project organization and management conflicts. First, it helps timely and efficient communication between project managers and company's manager, among various project managers by building a project office as the center of the organization and management model can help between the various project managers; instead of traditional assessment criteria to project managers, the company added project managers'contribution to the whole company, then the interests of the project could be consistent with the overall interests of the company. Second, investment sponsor and project evaluation department was founded, through various projects at different times of the risks and value of the multidimensional assessment, combined with the company for the purpose of the present resource conditions of resource allocation in order to achieve company to maximize overall efficiency. Third, by setting the executive branch, specifically with the host country, the project participants to communicate the negotiations to ensure the smooth implementation of the project; this sector under the project management office, can serve the company according to the whole company's interest.In this paper we should control progress timely and effectively by establishing a standardized process to speed up decision-making mechanism of information transfer between various sectors. Of course, this model also needs constantly tested in practice to be more mature and perfect, thus service CNPC overseas company effectively.
