"Enterprise groups" first appeared in Japan in the fifties of the twentieth century. As early as the late nineteenth and early twentieth century, the embryo of this form of organization was formed in Europe and the United States developed industrialized countries. In the past 30years, the government is working on develop the enterprise group. Larger and medium-sized enterprises, especially for larger enterprise, are adjusted and reorganized being the enterprise group in the support of the government. However, the process of enterprise incorporated into enterprise groups can not be finished. The key is reorganization and integration after enterprise group is incorporated. Then, it is significant to do some researches on internal reorganization in Chinese state-owned business group.In this thesis, research target is decision analysis of internal reorganization in Chinese state-owned business group. Firstly, the author tried to explore a guiding decision system mode on internal reorganization in Chinese state-owned business group in the basic of combining the related theories. Secondly, the author summarized the decision process of internal reorganization. Then, the author proposed analysis tools which were applied to help Chinese state-owned business group make decision on internal reorganization.This thesis focuses on the following aspects:the value of internal reorganization in enterprise groups, how to choose the right method and timing of reorganization, the specific content and process of internal reorganization and decision-making approach of internal reorganization steps. In this basis, the solutions are proposed on the internal reorganization mode, the method of business and assets, organizational structure optimization and the selection of management mode.The thesis concludes decision process of internal reorganization in Chinese state-owned business group:confirm reorganization time——reorganize the business and assets reorganize organizational structure system——reconstruct the mode of management and control——reorganize effect evaluation. Analysis tools on internal reorganization decision:analytical method of strategy matching score on the decision of reorganization time and situation; GE Matrix and vague identification method on the decision of business and assets reorganization; the thesis proposed the optimization process of organization structure based on all kinds of organization structure and collected organization structure type which is suit for enterprise developing condition, after considering the influence of business environment, strategy, peopleware, size and lifecycle on organization structure design; the thesis proposed to choose the management mode by the way of cumulative progression and comparing, according to different contingency element.At last, the thesis studied on internal reorganization of Changchun Railway Velicles Facilitics Co.,LTD and Changchun Rolling Stock Co., Ltd, in CNR by analysis tools on internal reorganization decision.
