At present, the state-owned enterprises of our country are still concentrating efforts on its reformation in order to improve the efficiency of SOE's operation and make the SOE's management perfect. In the era of knowledge economy, it is quite obvious about the significance of human capital to enterprises. Now the SOE's reformation is in its key period. But in fact the turnover of employees of SOE is very great, especially the top management. And the lack of human capital has become the bottleneck of SOE's development and reformation. So the state-owned enterprises should pay attention to the human resources management and value the core staff——the knowledge worker. To reverse the current situation, the SOE can start from the staff motivation easy to change. The SOE should carry out scientific incentive measures to attract and keep excellent employees.This paper focuses on the fundamental of staff motivation——the motivational factors. Firstly, we analyze the most important motivational factors of the knowledge workers in SOE by literature reading and questionnaires. Meantime, we make a contrast analysis on the motivators of the knowledge workers between the SOE and the overseas-funded enterprises to find the difference. Because the management of the overseas-funded enterprises is relatively perfect, the SOE can learn from them. Secondly, we sort out the individual motivators by statistical analysis and 5 motivators are indentified in the end. They are working environment, working compatible degree, working repay, the leadership and the work itself. At last, we study the changing rule of motivators and incentive degree with regards to the difference of genders, diplomas, ages, working years, salaries and job types. This paper tries to make useful suggestions on how to stimulate the knowledge workers for the humor recourses management in the SOE with the conclusion.
