Private Enterprises of China's socialist market economy are the most active micro-mains. After three decades of the development, China's private enterprises have entered the second pioneering phase, the progressive realization of the business professional management. However, the road of the second venture is not smooth. Many private enterprises got in trouble, the disorder between business owners and professional managers happened very often. In this paper, from our present situation of private corporate governance structure, analyzes and believe that the family governance structure is currently the vast majority of our governance structure of private enterprises and a contract from the enterprise's internal characteristics and external environment, both focus on analyzing the rationality and limitations of the governance structure of the family. On this basis, the paper points out the incomplete nature of contracts and human capital that can be occupied by quasi rents is the two major factors of promoting private corporate governance structure optimization. Then, this paper further points out that the introduction of professional managers is the only way to optimize the corporate governance structure, however, as China's private enterprises and external environmental factors cause, it's better not to separate immediately the enterprise ownership and management completely. It should be to achieve business ownership and management rights of separation and unity. Along the ideal, this paper presents the target model should be the owners and the current stage of China's private enterprise governance structure optimization of the target model should be the model of the business owners and professional managers controlling the enterprise together, which both share the residual rights of controlling. And it proves that the model compared to the superiority of the other governance models by the NPER theoretical models.? Finally, to ensure the construction and operation of the model, this paper, from China's private enterprises and external environment, puts forward proposals to improve business by improving internal and external environment, confidence-building mechanisms within the enterprise, while outside the enterprise to establish reputation mechanism is a common construction and operation of the governance model key.
