After more than 20 year's growth, private economy has been a very important part of the whole national economy, but the changing market situations and the growing scale of private firms require the growing management. Most private firm owners agree that the lack of qualified managers is becoming the hinder of the development of their firms. However, at the same time, we find that it is very hard for managers to enter the private firms, or they can only play less important roles if they are hired.Through the analysis of relationship between private firms and managers, we find that the private firm owners set duo-targets: keep the absolute control of their firms and stimulate the manager's entrepreneur's spirit to serve their firms. The economics tells us that the human capital can only be stimulated not be pressed, and those managers who own the entrepreneur's spirit can't be inspected, so only residual rights can be the effective stimulus to them. Therefore, we prove that the duo-targets are contradictive to each other and can't be realized.Then manager's opportunism behavior, The 'Sinker drive out Gold coin' phenomena in the manager market, the lower equilibrium in the game of private firm owner and manager are analyzed, we point out that Duo-target are the obstacle and lack residual rights stimulus to manager are the origin of those problems.In deeper analysis of private firm owner's behavior, we find the traditional culture has significant influence, and the trust level of the whole society is lower than our potential assumption in the above analysis, therefore, we admit that our conclusion depends on better social condition.
