China's reform and opening-up began in the countryside, but the reform beginning was the rural land. Land is the most fundamental key element of production in agriculture and conditions on which persons or things rely for existence, moreover it is the key to resolve "San Nong" problems. With the development of rural market and trans-area flow of rural labor power after the reform and opening-up, the phenomenon of land transfer become more and more wide, but the conflicts also become more and more obvious. Therefore, how to cultivate farmland market, speed up farmland transfer, promote the scale management of farmland, improve the farmland use efficiency, safeguard the legitimate rights and interests of farmer is important issue in our country.Based on the interests as a focal point, the paper use the theory of system, the Marxist theory of property rights and interests, the conflict theory, and focuses on the relations among the different stakeholder in agriculture and conflicts between them. According to these above-mentioned researches, we can find out the reason of conflicts from the system, farmland market, the role of government and the stakeholders'traditional ideas, in order to bring forward advice and measure to balance the conflict of interest in the rural land transfer.This article is divided into 6 specific components. PartⅠ, Introduction. It puts forward the problem of farmland transfer, study background, study purpose and significance, literature review at home and abroad, studies ideas and methods of thesis. PartⅡ,A brief summary of some of the relevant concepts and theory in farmland transfer. This part emphatically describes the theory of system, the Marxist theory of property rights and interests, the conflict theory, and these theories play a quite important role in research. PartⅢ, A study on stakeholders in rural land transfer. Based on the transformation of rural land transfer policy, it indicates a process of the diversity of its main body, analyses the relationship of the stakeholders, and points out the main body's profit driven. PartⅣ, the core of an article. Beginning with the relationship of the main stakeholder, the part systematically exposed the manifestation of conflict of interest in farmland transfer. So we can find out the reason of conflicts from the system, farmland market, the role of government and the stakeholders' traditional ideas. PartⅤ, About the advantage balance of conflict of interests in the rural land transfer. PartⅥ, A summary about the essay.
