Since China's taken part in WTO in recent years, many American multinational companies have invented deeply into China. I have worked Business Unit in China of one American multinational company for several years, and I find there is much confliction of company's culture in this Business Unit because of the deference of the company's culture between America and China. This confliction of company's culture has blocked the development of the Business Unit, even it threatens the survivorship of the Business Unit. At the same time, more and more Chinese companies invent the overseas and become the Chinese multinational companies. These Chinese multinational companies will also meet this confliction of company's culture. So, I research systemically this issue. I hope that pa this paper, American multinational company in China can find one way to jump out from the current puzzledom, and Chinese companies who want to become multinational companies can also get some elicitation. This is the realistic function for me to finish this paper.To analyze this issue , I start from the realistic confliction. Followed, I analyze the deference of system between America and China to try to find the reason. Deeply, I run the theories of company's culture, the theories of National culture and the theories of Localization Strategy to look for the deeper reason about this issue and the way to resolve this issue. I find that the localization of company's culture is only one way that can solve this confliction. At last, I points out the procession, principles and means how to set up the model of the localization of company's culture. And according to these procession, principles and means, I build up one model.I find that many scholars pay much attention to the field of the company's culture and the field of Localization Strategy, but so few people notice the field localization of company's culture. There are three innovations in this paper, I think. Firstly, I think that the localization of company's culture is the key one among the all localization strategy. Secondly, I research this issue pa the system analysis and theory's analysis. Thirdly, I set up one model of the localization of company's culture to settle this confliction. Of course, the defect of the paper is also obvious. The first, the theory's analysis to the issue is flat because it is so difficult to find out the reference. At last, I can not analyze American Culture deeply because I know the culture a bit.
