ShengDa company was mainly engaged in coal mining, wash and power generation operations, but with the mitigation of the trend of coal prices rise and electricity shortages, the situation of the company's profits were affected.The paper first analyses coal, electricity industry of the Shengda company, and possible future expansion of the metal indium industry, and a "coal, electricity industry nurture indium industry" strategic development planning is developed. ShengDa company implements a series of mergers on the basis of the strategy.Many problems emerge after the merger of enterprises. Based on the practical situation, Shenda company should strengthen its strategy management, program management, and information management, and in fact the company weakens these important management functions. At the same time the management of procurement, production, marketing, quality, finance, human resources is neglected . Making up these problems after the reorganization of these organizations will directly enhance the performance of the companyThe article goes on to analyse the impact factor of the integration companies organizations . Major factors focus on the operating environment, development strategies, enterprise life cycle, quality of personnel, the workflow conducted by the five nations. For the company the major impact of the business environment is that stable environment from now is changing to face procurement, sales market uncertainty. At present the companies are using low-cost competitive strategy which needs to enhance production and resource-driven plan, these strategies put forward requirements for the ways of company organization reengineering accordingly. Shenda company is currently between the standardization phase and the collectivization phase in the life cycle of enterprises, at this stage the management will focus on the establishment of a standardized management system. Human resource quality currently is not good relatively, which also advances the corresponding organizational model design constraints. Workflow is interdependent in Shenda, and therefore the form of authoritarian in headquarters is relatively suitable, rather than the current branch management model.At last on the basis of the analysises articles designs the company's organizational restructuring, and functions of the new departments in the company,plans management system, departments and high level manager performance contract system to ensure good operations through these measures.
