The corporate governance structure is the most important organization framework in the modern enterprise system. it proceed from the Western Economics, which also calls the corporate governance or the corporate governance structure.The corporate governance structure contains a whole set of institutional framework, which is consisted of two parts. One part is the mechanism which used to restrict authorities and to establish obligations among the corporate interior participants, including the shareholder, the board of director and the manager, the other part is the supervision from the outside of the corporation. And the corporate internal supervision and management mechanism are the core of the corporate governance structure. Through this kind arrangements to achieve the responsibilities, authorities and benefits to keep in balance among the corporate relevant beneficial parts, and also to reach the fairness and efficiency in accordance with each other ultimately.Our country's state-owned enterprise reorganization has lasted more than 20 years. Great improvements have been brought to the management of the state-owned enterprise yet, but the reform effect is quite not ideal. The reason lies in the neglect of enterprise own system innovations after the reorganization, especially in the high effective corporate governance structure establishment and the useful management mechanism optimization. Now, the optimization of the corporate governance structure still left a long rough road to take, and the result will directly be concerned with the process and effectiveness of the state-owned enterprise reform, besides, it will also help the state-owned enterprises out of predicament ultimately.This paper is trying to find out some effective ways to solve the real existed problems within the state-owned enterprise's corporate governance structure on the basis of the full analysis of our country's state-owned enterprise reform current situation, and aim to think up some useful novel countermeasures which can be helpful to our country's state-owned enterprise reform process and the management of the corporation which had been reorganized.
