The concept of corporate social responsibility is an extremely disputed matter which originated from the idea of corporate responsible for stakeholders and is a great challenge to the traditional corporate law concept which regards pursuing profit-maximum for shareholders as its only purpose.The corporate social responsibility is brought forward by the scholar in west developed countries at the beginning of 20th century. And nowadays, the theory research and legislation and judiciary on corporate responsibility system have matured in the developed countries. However, in china, the theory research just begins, relative legislation is not perfect and people have poor awareness of corporate social responsibility, therefore, the accidents against corporate social responsibility occurred frequently. All these go far away from the harmonious society which is advocated by the communist party. Therefore, researching on corporate social responsibility will have the practical significance to the construction of harmonious society. And the dissertation is in a positive position to probe into the subject of corporate social responsibility.The dissertation consists of five chapters. Chapter one introduces the origination and drastic debate of corporate social responsibility to build up a general overview on the developing process of corporate social responsibility; chapter two probes into the definition of corporate social responsibility, and then the conclusion is: corporate social responsibility is the obligation for corporation to maintaining and enhancing the social commonweal besides its duty to pursuit profit-maximum for shareholders; chapter three argues the theory basis of corporate social responsibility. The chapter explores the due basis from the view of administration science, economics, social science and law; chapter four compares and surveys overseas legislation and judicatory system of corporate social responsibility, and then, this chapter digs out the experiences and lessons from the construction of corporate social responsibility by developed countries for out reference; by examining and reviewing the present situation of theory research and legislation of corporate social responsibility in our country, the last chapter make some constructive suggestions for perfecting the legal system of corporate social responsibility.
