The property rights(PR)is the legal representation of the relationship of economic ownership,is the legal tool to consolidate and standardize the property relationship in commodity economy,to restrict the economic behavior,to safeguard market economic order,and to ensure the smooth movement of the commodity economy.The main PR institution of modern market economy is juridical person PR institution;it achieved a diversification of PR,promoted the flow of PR,and improved the operational efficiency of PR.The basic characteristic of modern PR of China is"clear ownership,specific responsibility,strict protection,and smooth transfer."The core part of strengthening state-owned enterprises management is property management,which is the necessary foundation of economic development and state-owned enterprise reform.We started the reform of nationalization PR from the founding of our country,and built up PR institution centered in national PR around 1958.After China's reform and opening-up,we started enterprise reform focused on decentralization,and then carried out a series of major reforms,such as exploration of separation management of ownership and operation,experimental establishment of modern enterprise institution,concentrative development of basis industries which is related to people's livelihood.These series of reforms involves a large number of enterprise restructuring,as well as property transactions.In the strategic adjustment of China's macro-economic and state-owned enterprise reforms,asset restructuring and stock moving is always very important.Persisting in the movement and reconstruct of assets and exploring the innovative models of state-owned assets flow guaranteed the success of state-owned reforms.The core part of strengthening state-owned enterprises management is property management.From the founding of China till now,reforms have been carried out involving a large number of property transactions.This thesis mainly focuses on state-owned PR transactions;based on in-depth analysis of the principle of property transactions,historical evolution and some specific cases;it does innovative and explorative research of state-owned PR transactions:1.This thesis covers the principle of PR transactions.Transfer of PR means the ownership of transfer refers to the agreed price of stock power,and the control or equity participation of Target Company.PR transfer shows the struggle process between owners and clients.2.This thesis covers detailed process of property transactions.Transaction of PR is a systematic project,including a complete process as formation of PR,daily management,property transaction,and PR change.3.This thesis covers various types of property transaction examples.The detailed analysis of four concrete examples of property transactions shows the experiences and problems gained in recent years of property transactions reforms.4.This thesis defines the direction of future property transactions.Firstly,it is necessary to analyze the existing property management system and strengthen its management;Secondly,to establish scientific and standardized corporate governance structure;finally,to largely extend the equity market in the future.
