As the first large state-owned enterprises, which imported whole-set advanced technology from the West to produce urea, after fifty years of operation, the company currently is overstaffed with more obsolete equipment, big and all embracing, a heavy burden, especially a series of problems caused by current property system can't meet the requirements of social development and change, which have seriously hampered the survival and development of enterprises, and in the larger context of reorganization and system transformation of state-owned enterprises, the implementation of reform of property rights system in L Company is imperative.In this paper, L Company as the subject of study, based on learning from theory of organizational change, the modern enterprise system and corporate governance structure, we carry out the study of applications of reorganization and system transformation of state-owned enterprises centering about property system. Firstly, this paper describes the theory of organizational change, including the basic connotation, basic conditions, resistance and how to overcome, the introduction of the related knowledge of the modern enterprise system and corporate governance structure, as well as the status of research and application at home and abroad of reorganization and system transformation, etc; secondly, according to the situation of L Company and the problems exist in property system, it analyzes the necessity and feasibility of the implementation of the reform of property system; thirdly, under the guidance of the relevant national policies and laws and regulations, it carries out program design for the reform of property system of L company taking the opportunity of reorganization and system transformation, among which three typical programs are mainly introduced including the entire transfer of the video-signal center, which is a subordinate secondary unit, dissolution of kindergartens, company transformation of worker's Hospital and so on. In the end, it analyzes the effect of the reform of property system of L Company, as well as the experience and understanding in the implementation process, and especially describes the implementation ideas, processes and procedures of programs in detail.In this paper, through the research of the application of Organizational behavior, Management, Human resource management and other related theories, we actively seek the effective way and successful implementation of reorganization and system transformation centering about reform of property system, and timely summarize the experience and understanding in the implementation of reorganization and system transformation in state-owned enterprises, and proposes reform ideas and practical advice on property system of state-owned enterprises, which can be used as the decision-making reference in similar enterprises and institutions and has pertinency and reference for other similar enterprises and institutions to implement reform of property system in the context of reorganization and system transformation.
