State-owned enterprises(SOE)are owned by the whole people.They are an important force in promoting the modernization of the country and safeguarding the common interests of the people.They are also an important material and political basis for the development of the cause of our party and country.Since the reform and opening up,the reform of state-owned enterprises in China has gone through five stages of exploration,including decentralization,profit and tax reform,enterprise contract responsibility system,establishment of modern enterprise system and capital structural reform.The reform and development of state-owned enterprises have made continuous significant progress,which has been integrated with the market economy in general,and the operation quality and efficiency have been significantly improved,made great contributions to promoting economic and social development,ensuring and improving people's livelihood,opening up international markets and enhancing China's comprehensive strength.However,we should also see that there are still some outstanding contradictions and problems that need to be solved urgently in state-owned enterprises.Some enterprises have not really established their market dominant position,the modern enterprise system is not perfect,the supervision system of state-owned assets needs to be improved,and the operation efficiency of state-owned capital needs to be further improved;some enterprises are in a mess of management,problems such as insider control,interest transmission,loss of state-owned assets and so on are prominent.,the social functions and historical problems of enterprises have not been completely solved;some enterprises' Party organizations' responsibility of managing the party and running the party is not implemented and their role is weakened.On August 24,2015,the CPC Central Committee and the State Council issued the guiding opinions on deepening the reform of state-owned enterprises,which clarified the five basic principles of the reform of state-owned enterprises: to play the leading role of the state-owned economy,actively promote the cross shareholding and mutual integration of state-owned capital,collective capital,non-public capital,etc;to promote the state-owned enterprises to become the independent market subjects of independent operation,self financing,self risk,self-restraint and self-development in accordance with the law;to ensure the maintenance and appreciation of state-owned assets;to carry out in-depth the construction of the party's style and clean government,to safeguard the legitimate rights and interests of employees;to correctly handle the relationship between top-level design and respect for the initiative spirit of the grass-roots level.This is a programmatic document to guide and promote the reform of China's state-owned enterprises in the new era.In the research process of this dissertation,literature analysis and case analysis are used.By collecting and consulting relevant domestic and foreign literature,learning the theoretical knowledge of modern enterprise system,state-ownedenterprise reform and principal-agent relationship,I analyzed and summarized the corporate governance model formed by YT water supply company in the process of state-owned enterprise reform,including governance structure,governance mechanism,equity structure,interest distribution,talent incentive and evaluation mechanism,so as to Combining theory with practice,this dissertation studies the corporate governance mode in the reform of state-owned enterprises in China.YT water supply company's mixed ownership reform of state-owned enterprises,through absorbing two listed modern enterprises,introducing,improving and implementing the modern enterprise system,has carried out a new design in the corporate governance structure,governance mechanism and equity structure,strengthened the internal and external supervision of the enterprise,paid attention to the party building work of the enterprise,made the agreement suitable for the company's development in the company's profit distribution,combined with the core values of the military characteristic cultural enterprise transplanted by the general manager of the company,enhanced the operation vitality of the state-owned enterprises,relieved the pressure brought by the problems left over by the restructuring of the enterprises,such as redundant personnel,solved the problems of enterprise management confusion,realized the maintenance and appreciation of state-owned assets,and improved the operation efficiency and corporate governance level of the state-owned enterprises.The corporate governance mode of YT water supply company provides a feasible direction for the reform of state-owned enterprises,and accumulates valuable experience,which is also of great significance for other economic types of enterprises.
