The Study About The Administrative Construction Problems Of The State-owned Companies After Being Reformed The Original Regulations

The economic system of China is turning to the market economy system. In this process, the traditional state-owned enterprises are carried on the corporation system reform, with the aim of establishing the modern enterprise system and becoming the standard corporation enterprises. The reformation has been carried out more than 20 years and has made great achievements. The goals of this reformation have been partly achieved and the state-owned enterprises have gotten rid of the difficult position. But the state-owned enterprises are largely depended on the political impetus, and the interior mechanism of these enterprises is still unreasonable.The official transcript , which has been set down in the 15th party congress Fourth Plenary Session, has pointed that corporate system is one of the most efficient mechanism but governing and controlling structure are the core .Now we are all accepting the opinion that it's a better way to reform the national enterprises by introducing the normative corporate system. Under this circumstance, we are facing the most important problem -how to introduce and establish the reforming procedure of national enterprises.This paper analyzes the definition of corporate governance and the issues of current governance structure in China by comparing it to the ones prevailing in the world. By analysis, the reformation of these enterprises should absorb the modern international experiences in this field and they should make the competition market fairly (including commodity market, capital market and entrepreneur market). Naturally, after China joined to the WTO, the government's preferential benefits will have to be gradually cancelled. The enterprises are confronting an intense competition of the worldwide market. Coalescing the principles of OECD, this paper anatomizes the issues of current governance structure in China by comparing it to the ones prevailing in the world .By the cases analysis, it is clear that the effective company with Chinese characteristics must be established and some other things must be considered. This paper can be the probe to pave the progressional way of enterprises reforming.
