At the background of economic globalization, the corporate social responsibility (CSR) gradually becomes an issue cannot be neglected, which is a very important theory involved multi-disciplinal fields. In generally, the meaning of corporate social responsibility can be summarized as follows:As an important individual in the modern economic society, the corporate should also take into account the value of other stakeholders and social obligations as well as assume the promotion of social responsibility for sustainable development besides the primary objective in pursuit of maximizing the interest of shareholders. The corporate social responsibility includes both legal and moral contents, while the latter is the essential part. Legalization of the basic moral part of corporate social responsibility make sense for not only the requirements of CSR itself, but also the significance of the jurisprudence research of the of corporate social responsibility.This article studies the corporate responsibility from a legal perspective, which is divided into four chapters:In ChapterⅠ, this paper makes a summary study of the origin, development and theoretical basis of CSR.In ChapterⅡ, this paper defines the conception and features of CSR.In ChapterⅢ, this paper discusses the characteristic of CSR, and gives a clear definition of CSR extension in China's "company law" through comparative analysis and proof of specific cases.In ChapterⅣ, at the basis of the Legal property of CSR, this paper suggests a number of recommendations for improving of CSR legal system in our country referring to China's legal status as well as foreign legal practice in the end.
