With the development of economy, the three policy banks in China, China Development Bank, Export-Import Bank of China and Agricultural Development Bank of China are nowadays faced with the problem of transition and restructuring. With the reform of China Development Bank, the commercial transition trend of policy banks has been quite obvious. This paper mainly focuses on the issues of commercialization of domestic policy banks and makes analyses of the status, the legal roots and the related adverse effects of this phenomenon. Also, combined with the Investigation on the successful operation of policy banks in Japan, Germany and South Korea, this paper obtains the conclusions that the current domestic policy banks should still exist and policy banks should not be overly commercial. Finally, according to the domestic situation, this paper explains the personal opinions of solutions within the legal framework.This paper has four chapters except the introduction and conclusion.Chapter One on is about the concept of policy banks, the legal characteristics, history and development and other aspects which helps to have a better understanding of the policy banks, especially the domestic policy banks.Chapter Two presents the current commercialized performance of domestic policy banks. This part also analyzes the legal origin of it. It points out that the imperfection of related laws and regulations for the domestic policy banks, and the lack of coordination mechanisms between the policy banks and commercial banks are the main reason of policy banks'commercialization and transformation to real commercial banks. Meanwhile, this part gives the analysis of adverse impact of domestic policy banks'commercialization.Chapter Three presents the comparative study of policy banks in Japan, Germany and South Korea, and finds experience for the corresponding development of policy banks in China.Chapter Four gives the personal views on how to resolve the issues of commercialization of policy banks. Author insists that attention should be paid to legislation for the policy banks. Policy banks should be re-positioning. Also a clear business scope of policy banks and specific supervision legal systems are quite necessary.
