One of the most important and difficult problems today in China's economic reform is how to reform the state-owned enterprises.In the situation of Gross National Economics unbalanced and effective demands insufficient, state-owned enterprises play a very important role in many aspects of China's national economy. It would help China to establish a socialist market economy, to consolidate its socialist system, to raise the capability of governments' adjustment of macro-economy, and to keep the national economics developed sustainable and steady.In the report of the 15th National Congress of the Chinese Communist Party, it realized that the share holding system is a way of organizing capital, and is good for separating ownership and management, raising working efficiency of enterprises and increasing capital. We can use the system in capitalist countries, also we can use it in socialist countries.Capital operation is a newly emerging thing in China. Through the use of capital's use value, capital operation is the kind of activity that was to make the most effective use of capital and to reward the greatest profit. It included consuming the capital directly and all kinds of changes of the capital's usage.Now, we've reached a crucial moment of China's economic reforms, and it is of urgent need to strengthen the domination of the state-owned economy in the national economy and to raise the efficiency of the state-owned capital operation. Therefore, based on China's realities and taking reasonable aspects of foreign economies, how to build up an efficient and normal socialist system of state-owned operation is of the most important.The main body of this thesis consists of five parts.Part one is introduction. At the beginning, it reviewed the history of China's state-owned enterprise reform. Then, it defined some related concepts which including state-owned economics, state-owned economic system and state-owned enterprise.In part two, it described the ways to control beforehand. After it stated the history of the share holding system in the world, this part then stated five stages of the share holding system reform in China's economic reforms. Having changed people's knowledge and senses, we must recognize that capital operation emphasizes to operate capital and to add value of the capital, so the goal of share holding enterprise operate capital is to reward the greatest profit from the capital. I also create the system of the state-owned capital operation which come from macro aspect to micro aspect. This system includes the Management Committee of the State-owned Asset, the state-owned holding company and perfect structure of administrative legal person .How to control the operation is in part three. Firstly, I pointed out the necessity of state-owned enterprises' reform. Secondly, it was stated that there are four main models of the reform of share holding system—stock holding company, limited stock company, stock holding group company and directional collect company. Thirdly, we can operate capital through different approaches, such as M&A and re-organize the enterprise. Because the state-owned share in great proportion to the whole share, we can operate capital by circulating and transfer the possession of state-owned shares. So lastly, I discuss the ways of the circulation and the transfer.I described the core of capital operation system in part four, which was to encourage and keep the state-owned enterprise' managers within bounds. In this part, the urgency of the encouragement and binding was proposed at the beginning. After that, I put forward the questions what emerged in reality. To demonstrate it, some concepts were defined at first, such as encouragement, encouragement system, dominant encouragement, recessive encouragement, restraint system. Then I established the analytic model of encouragement and restraint creatively.
