There are many resource cities in China, of the economy of which resource industry takes magisterial part. Since the unregenerate resource is depleting, these cities is facing many problems such as the difficulty of exploitation, high cost, profit lose, low efficiency, the difficulty of transition. These have become big problems to the society. In order to keep sustainable development of the resource-depleting city, the cities have to withdraw from resource industry and enter the substitute industry. The transition is highly imperious and significant. Although there are some successful examples of the transition, systematic theories are rare. Based on the research of interrelated theories and investigate on the spot, the thesis has done research in the following area. First the definitions of Resource-depleting City, resource industry, substitute industries are given. Based on the definitions, the definition of transition cost is figured out, the content of transition cost is analyzed. The investment cost of transition is emphasized. Mathematical model is established in order to find out optimize the transition opportunity and the investment cost of transition. As an example, the Data of FuShun City is utilized to show the function of the model. Finally, other factors influencing transition cost or transition orbit are analyzed.
