The stock companies of countryside-urbanization are the result of urbanization of the Shenzhen Special Economic Zone (SSEZ). As the new things, these companies have some defects, and need to be perfected and standardized in the course of practice.The stock companies of countryside-urbanization come from collective enterprises held by former villages. These new companies have still many problems in share-structure and management, and stay in old pattern. With the speeding development of continuance of market economy in SSEZ, the market competition will be more and more stinging. These companies will get pressure that they have never been before, and will await their doom unless doing reformation.This thesis takes 8 stock companies of countryside-urbanization in Shekou as examples to study the information related to share-structure, board of directors, board of supervisors and staffs of management. It analyzes their common defects in system of property right and corporate governance, such as non-activity of property right, unitary of investment subject, lack of effective inspiring mechanism and the lower educational level of mangers.This thesis fully considers the practice situation on the stage of SSEZ, and takes one of the stock companies of countryside-urbanization as examples to bring forward policies and ideas of normalizing the system of poverty right and corporate governance by using modern theories of control, at the same time, advances some idiographic and easy manipulate rationalization proposals. I hope these ideas and proposals can accelerate the standardization works of stock companies of countryside-urbanization.
