With the deepening of the state-run enterprise reforming and the establishment of modem enterprise system, the state-run enterprise will achieve the separation between ownership and management, which will result in agent problem. How we can reduce the agent cost and improve enterprise efficiency by motivation and restriction system, it will become a significant subject in the field of management to modem enterprise. Establishing an effective motivation and restriction system in the state-run enterprise is a complicated systematic project. By using economics, management, the law and sociology together, this article deals with the theoretical bases of the motivation and restriction system and the practical problems we are faced with under modem enterprise system; and analyses the current problems which exists in the motivation and restriction system of the management in the state-run enterprise. On the basis of this, we come up with the idea of establishing the motivation and restriction system in the state-run enterprise and countermeasures of reforming and improving it. The article is divided into five parts:Part I the problems and practical significance .It deals with the starting and development of the theory of the motivation and restriction system in enterprises, and the practical significance of establishing the effective motivation and restriction system to improve the efficiency of the state-run enterprise.Part If the major contents of the motivation and restriction system under the system of modem enterprise.The motivation and restriction system under the system of modem enterprise is divided into five sections: pay system, spirit system, controlsystem, competition system and law system.Part in analysis on current situations of the motivation and restriction system of the management in the state-run enterprise.It analyses and approaches the current situations of the motivation and restriction system in the state-run enterprise, including control on the internal personnel, 59-year old phenomenon, consuming on post, and the standardization of juridical person's administering structure, etc..Part IV coming up with the idea of establishing the motivation and restriction system in the state-run enterprise.By analyzing the nature of the state-run enterprise and the two aims, the idea of establishing the motivation and restriction system in the state-run enterprise is come up with.Part V the measures of reforming and improving the motivation and restriction system in the state-run enterprise.By such measures as improving annual pay, the capital market, and the law's normal system, reforming the motivation and restriction system in spirit, establishing intelligent market, standardizing the juridical person's administering structure and the product market etc.It approaches the contents of the motivation and restriction system, the theoretical bases of the systems, the problems faced with, and reforming and improving the measures of the management in the state-run enterprise in a new way.
