In order to establish the modern enterprise mechanism and survive in the sharp competition of the market, the stated-owned enterprises need excellent managers urgently. The fourth plenary session of Fifteenth Party Central Committee expatiated this problem technically and pointed out that we should establish and improve motivation and restriction mechanism of managers for the state-owned enterprise. In reality, the owner and the manager of the state-owned enterprise have different goals; modern corporate governance system hasn't been set up; the rights and interests of state assets are not being protected. All of above make it necessary for us to do systematical research on the motivation and restriction mechanism of managers for the state-owned enterprise.At the beginning, the paper discusses the theory of motivation and restriction mechanism of managers. It gives its own view on the relationship of the motivation and the restriction, defines the manager and analyzes the concept, the content and basic theories of the mechanism. Then, through analyzing the background and the present situation, the paper draws the conclusion that the characters of the present mechanism are lacking effective motivation and restriction and unscientific evaluation of managers' performance. On the basic of the first and the second chapter, the paper sets forth the principle and the thought of establishing motivation and restriction mechanism of managers, puts forward the seven consciousnesses we should have. Dividing the state-owned enterprise into two parts, enterprises with the policy goal of maximum social welfare and enterprises with the efficiency goal of maximum profit, it designs different mechanisms for each part. Along with the designs, it sets up an index system for a certain enterprise. Based on the principle of combining qualitative and quantitative analysis, the paper evaluates the index by AHP and fuzzy comprehensive measurement with an example. At last, aiming at problems existing in our state-owned enterprises, contraposing rewarding mechanism, inner mechanism and outer condition respectively, the paper advances a series of pertinent, executable and foresight countermeasures.
