China's Foreign Direct Investment In The Legal Systems Of Study

1. In this dissertation, a macroscopic research was made on the legal institutions of FDI in China. By reviewing and analyzing the historical facts of FDI in China, the author explained the features of the FDI in different period, pointed out the drawbacks of the concerning institutions. After pointing out the value orientation of the legal institutions in future. On the basis of using successful foreign legislation for reference, the dissertation gave some opinions on revision and improvement of the legal institution of FDI in China.2. Chapter One, as an introduction of this dissertation, revealed the background in which the research was made. The author also revealed the practical significance, scholastic value of the studies.3. Chapter Two made an investigation into the history of FDI legal institutions in China. The author analyzed the features of the institutions in different period, probed into the defects of the present FDI legal institutions in China. This chapter held that, with the integration of the international economy and the development of the market economy in China, the present FDI legal institutions required innovation. Of course, the research didn't deny the positive significance of present FDI institutions, although its value orientation must retreat. In addition, the author stressed that the main target of the new style FDI institutions is to restrain the negative effects of FDI in China.4. Chapter Three probed into the external causes of the improvement of FDI law in China, pointed that the new features and tendency of both the international direct investment and the direct investment in China. The author also pointed that, with the acceleration of joining the WTO, the current institutions should be regulated and linked with the rules of GATT, GATS, etc.5. Chapter Four made an inquiry into the value orientation of the new FDI institutions, pointed that the news institutions should carry out the national treatment as an important legal principle, strength the supervision and management, and promote the farsightedness of legislation.6. Chapter Five gave some opinions on the revision and improvement of the FDI institutions, including the improvement of the institution of examination and approval, share right of the FDI, check and balance of powers in joint venture, and the institutions of foreign M&A.
