Entrepreneur Human Capital And Modern Corporate Governance

Modern enterprise theory takes in for granted that enterprise in essence is an "incomplete contract" comprised of human and non-human capital. From the changing history of modern enterprise institution, with development of economic globalization and market economy, we can easily see that the status and the functions of entrepreneur human capital become more and more important in the course of modern corporate governance.Under the condition of such backgrounds, the basic purposes of this article is: reference and using the fruit of modern economic and management, to research deeply and systematically the connection of entrepreneur human capital and modern corporate governance. Then we may try to establish a new theory structure of corporate governance innovation, especially Chinese corporate governance innovation.According to the above thoughts, the paper can be divided into four parts: the first is about meanings and characteristics of entrepreneur human capital; the second is about the status and the functions in the course of modern corporate governance; the third is about historic and present situation of Chinese entrepreneur human capital and modern corporate governance; finally we also provide some advices about connection of Chinese entrepreneur human capital and modern corporate governance.
