With the development of the Knowledge economy, entrepreneurial human capital becomes the forth factor of productivity and plays a more and more important role in the survival and the development of enterprises. Moreover, entrepreneurial human capital is the key to achieve the sustained competitive ascendance for the country, the district and the enterprise. In a word, making the most of the exiguous entrepreneurial resource is of great importance for the rapid economic development, system reformation and innovation, and even social progress of the country.In China, entrepreneurial human capital could not radiate effectively its significant virtue for a long time due to the restriction of the systemic and historic factors. This blocked up the reformation of the state enterprises, and is detrimental to the international competition. As a result, there is a large body of recent research on how to develop and manage entrepreneurial human capital effectively. But most of the research is limited to descriptive and abstract theory. It couldn't develop a complete theory system of entrepreneurial human capital and a helpful counterplan construction.The paper aims to study the more complete theory system of entrepreneurial human capital and analyzes the development and management of modern entrepreneurial human capital in our country, by using the new institutional economics theoretical tool and analysis method, together with metrology economical model analysis. It is of great help for the establishment of the modern enterprise institution, development of the entrepreneurial team and the growth of economy.The paper consists of six chapters:Chapter one is the introductory one in the paper. First, it elucidates briefly the importance of study and defines the problem attempt to be solved in the study accordingly. Second, it elucidates respectively the theory of enterprise, human capital and entrepreneur, so that provide the theoretical analysis basis.Chapter two analyzes the history, present condition and existing problem of entrepreneurial human capital in our country, then analyzes the accumulation to the economy growth and points out that entrepreneurial human capital is the motive power of economy sustained growth. Finally, it declares the necessity and feasibility to develop entrepreneurial human capital at present stage combined with the contemporary economic and political situation.Chapter three points out the problems of entrepreneurial human capital institutional of inside and outside circumstance at present in our country, then suggests to establish and flesh out a system in favor of entrepreneur institution forming, that begins with market circumstance, enterprise shareholding construction, the entrepreneur employment market, capital market. Furthermore, lessoning from the successful experience in the western developed countries, it investigates the development and management model of human capital to build up a reasonable and effectiveentrepreneurial human capital management model consisting of entrepreneur encourage, monitoring and binding, selection and estimation institution.Chapter four aims to analyze some relating problems about the development and management of entrepreneurial human capital by using the metrology economical model analysis. It emphasizes the value realization of entrepreneurial property and the efficiency realization of entrepreneurial encouraging and binding institution , the supply and demand relationship and the theoretic model of flowing of entrepreneurial human capital, and further to provide solutions and reference to the present entrepreneurial human capital in our country.Making synthetically use of the results achieved by the form chapters, Chapter five argues systematically on the strategic developing direction of entrepreneurial human capital.
