After several year's hard working, China has formly become one of the members of WTO by the end of 2001. According to the rules of WTO and a serial of the promises to open market which we have made in the course of negotiation, the current pattern of management of petroleum and chemical industry of China will change a lot.Marketlization and globalization will become the irreversible current trend.Based on these situation, this paper focuses on the future of "Nantong petroleum" and profoundly analyses external and internal environment of "Nantong petroleum" in detail according to the strategic theory of modern cooperation. It has found the opportunities and threats which now exsist in cooperations. With analysing the strengths and weaknesses of the cooperation, it determined the strategic goal of the cooperation and chose the suitable strategic type and combination and finally it determined the specific implementation project.
