Legal Property Rights In The Core Of Corporate Governance Research

The paper analyzes the role and status of the property rights of the corporation in the management of company on the basis of property rights, management of the company and relationship between them. Some tentative plans and suggestions are given on how to improve the management of companies from the standpoint of legislation of government and reform of state-owned enterprises.The structure of property rights of corporation is put forward by analysis of concept of property rights of corporation. From the investigation of corporation governing principle and pattern, combining with the important role of system of property rights in transformation from traditional enterprises to modern enterprises, we can conclude that the establishment of property rights of corporation is the foundation of self-management, responsibility for its own benefit and loss, self-development and self-discipline. The unity of power and behavior of company is beneficial to the civil rights and civil responsibility. The property rights of corporation play an active role in the administrative structure of corporation. Proposition that the implementation of property rights of corporation is critical to effective management is raised with reforming problems in of state-owned enterprises. Concerning the system reform and legislative guarantee, concrete measures are advanced on the vital role of property rights in the management of corporation.
