R&D (Research and Development) is an important measure of non-price competition for company, is an important measure to improve the development of technology and is the way to improve competitive edge. But externality caused by R&D spillover and exclusiveness of technology hurt firm's activeness of R&D. R&D cooperation can internalize those externalities, and then improve firm's R&D activenessThis paper studies the influence of R&D spillover on firm's investment tactics and social welfare in the light of firm's low R&D intensity and lack of activeness of R&D cooperation in our country, and studies the influence of network externality on standard tactics of firm and social welfare, and studies the role of the R&D cooperation in stimulating finn's R&D investment and social welfare. The paper analyses motive of R&D cooperation, cost of cooperation, selection of fellowship, the type of cooperation, clash of cooperation, and solution of clash. The paper analyses R&D stability and intrinsic force of finn's R&D cooperation by transaction cost economics, game theory and information economics, and analyses the policy to stimulate R&D cooperation and R&D investment on the basis of it.
