Both small medium-sized enterprises and empires constitute the market with workable competition. So the main countries all very emphasis the protection of small medium-sized enterprises. Anti-monopoly law is the basic law of market-directed economy. It's aim is to oppose monopoly, construct the workable competition mechanism and the regular market in which all the marketbodys can take part in the competition fairly. Therefore, opposing monopoly including the protection of small medium-sized enterprises. This paper mainly discuss how monopoly can play effect on the benefit of small medium-sized enterprises from the angle of anti-monopoly as well as the direct and indirect function on the protection of small medium-sized enterprises of the provisions which are about the controlling over the merging of enterprises, prohibition on the abusing of market dominion and controlling over the agreements on limitations on competition as well as other provisions in the anti-monopoly laws of the main countries, in order to can give some advise to the legislation of anti-monopoly on the protection of small medium-sized enterprises in our country .This paper is made up of four parts:Part one: the relation between monopoly and small medium-sized enterprises .it is mainly about the definition of monopoly and three kinds of the behaviors of monopoly, the definition and the necessity of the existence of small medium-sized enterprise as well as the effect of the behaviors of monopoly on the benefit of small medium-sized enterprises.Part two: anti-monopoly including the protection of small medium-sized enterprises .it is mainly about why anti-monopoly law protecting the small medium-sized from the purpose and the competitionpolicy of anti-monopoly legislation, discussing the relation between the protection of competition and the protection of small medium-sized enterprises as well as the relation between the realization of theory of workable competition and the necessity of the protection of small medium-sized enterprises.Part three: the measures and regulations about the protection in anti-monopoly law around the world .It is mainly about overcoming of the behaviors of instructing competition, the reasonability of co-operation of small medium-sized enterprises and the immunity of the behaviors of small medium-sized enterprises which restrict the competition.Part four: the construction of system that protecting small medium-sized enterprises in the legislation of anti-monopoly law in our country .It is mainly about the construction of the law system about the controlling the behaviors that restricting competition and the special regulation that protecting small medium-enterprises in the legislation of anti-monopoly law in our country.
