The construction of the modern university system is a strategic task in The National Long-and- mid-term Education Reform and Develop Outline(2010-2020).The university decision- making right is the premise of establishing the modern university system. Administer university by law is the most important, and university statutes as the soft law is the indispensable part. Since 2012, China set off an upsurge of university statutes construction.The importance of university statutes should not be only reflected in whether has it, which should be reflected in actual effect. The premise of university statutes play an effective role is to ensure the improvement of contents. As the C harter of university governance, the study specializes the issues of university statutes: its value and spirit; Which kind of statutes can reflect the connotation of modern university system? Which deficiencies do university statutes have in the content? The object of the dissertation is 38 Project 985 university statutes. With the help of text analysis and document analysis, the dissertation presents a depth study of university statutes in C hina.With the research of modern university system, the dissertation analyzes the spirit of modern university system, including university autonomy, professor’s academic governance, democratic management, administer university by law. On this basis, it’s necessity to develop university statutes by the negative list. Based upon the discussion of 38 Project 985 university statutes, the dissertation analyzes the word frequency analysis, internal and external elements of the relationship, problems of university statutes. After analysis of the Bylaws of the University of Michigan Board of Regents and Bylaws of Cornell University, putting forward sound proposals for developing university statutes in China.
