In terms of the survival and development of social organizations, the operating mechanism has an essential influence on school organizations. In accordance with System Theory, the structure determines function and the effectiveness of the middle and primary public schools depends on the institutional framework of the schools. With the development of our society, setting up a modern school system becomes an important subject of basic education. With the development of our education, various kinds of contradictions of the school appear gradually, the administration structure problems are more and more obvious inside the public schools.On the basis of summarizing reform experience of the school education structure and introducing the corporate governance, the text sets up a comparatively rational governance and operating mechanism with the purpose of using the power of the school rationally, deepening the management system reform of the school, promoting the effectiveness of the school in an all-round way. The thesis is divided into six parts.In introduction part, the mainly discussed subjects are the research background, meaning, basic conceptions, literature review and research approaches.In second part the meaning and characteristics of the corporate governance structure of middle and primary schools are analyzed. The corporate governance is defined as "a whole set of organizationmanagement system that the middle and primary schools as the independent corporation set up in order to improve the effectiveness of the school, dispose power resource of school rationally, deal with oneself and external independently".The third part discusses the theoretical and realistic basis to set up the administration structure of middle and primary schools of our country, including the economic, political and culture foundations, domestic and international theories, legal issues, policy basis and present reality.The fourth part probes into the current situation of the administration structure of middle and primary schools of our country and the characteristics of that in developed countries.The fifth part studies how to fulfill the transition from the system in which headmasters take main responsibilities to the corporate governance structure, including the basic mode of the administration structure and the constructing tactics.The sixth part is a conclusion.
