As China is entering the “New normal” economy, its economic transition has been gradually pushed to accelerate the reform of State-owned Enterprises, which has become the common interest of the community. Meanwhile, in recent years, many central SOEs expanse their business scale and profit through implementing financial-industrial combination strategy, and they achieved good results. But those SOEs gradually go into the bottleneck, and thus they also expect through reform to achieve an sustainable development. Y Group, as a central SOE Financial Holdings company, is also facing the same problem.In this paper, by implementing the New Institutional Economics Theory which includs property rights and transaction costs, along with the organizational behavior, push forward SOEs some major organizational changes and ideas. For instance, the reform of State-owned Enterprises should improve property rights as a core through comprehensive reform; Stick to define property rights clearly and apply it as the main tool; and to use transaction cost as the evaluation criteria, in order to achieve Karl- Xi Kete optimal for the ultimate goal of innovation philosophy. By doing organizational status quo analysis,diagnosis change program design, process organizational issues, change implementation and evaluation, and ultimately the enterprise organizational structure optimization and upgrading of the division of responsibilities, management and members of the organization to maximize efficiency and effectiveness of the enterprise.Based on above ideas, the paper, on one hand made a deep analysis of Y Group and find out the major issues it currently has, on the other hand, by referring to CITIC Group,one of the most valuable industry representative of financial holding company, presented the final design and the organizational reform of Y group, identify the general thoughts,concepts of reform, major initiatives, as well as the corresponding supporting measures. By implementing this organizational reform successfully, the purpose is to assist Y Group remain profitable and blossom.
