Merger integration is a key factor which determines the effectiveness ofthe M & A. As we know, merger integration is a task that is more importantand complex than equity exchange. But, now, merger integration is ignored,especially in the domestic merger theories, which results in the integrationtheory lagging behind other merger theories such as the theory of M & Amotives and M & A performance and can't meeting the needs of practices.Recent years, M & A has been acknowledged as a way to increase theshareholder wealth. But either management is in a chaos and efficiency islowered or operation is bad which leads to loss after mergers. Externalanalysis should be made to these problems: because of financial and market ormerger integration? It is proven that quite a number of losses can be tracedback to the ignoring of culture and human integration. Culture's essentialcarrier is human being and human is social in nature but is socialized by theculture. So the culture integration and the human integration can be united asone.On the basis of above, the article firstly reviews the classical theories,expatiates on the latest theory of the rapid development of transnational M &A, analyzes the traits and trends of the fifth tidal wave of M & A and explainsthe modern theories of enterprises' integration. Subsequently, the articleanalyses culture integration and human integration and the relationshipsbetween them. Then, it analyzes the culture and human conflicts facing withtransnational M & A and puts forward with corresponding measures anddemonstrates them with two opposite examples. At last, the article sets forththe status quo,experiences and lessons of China transnational M & A.
