Enterprises M&A (Merger and Acquisition) , means the activity of transactions of property right which enterprises cany on in order to obtain control power of other enterprises under market mechanism function. The combination of corporate culture, means the course of combining the culture of different nature in different enterprises together through contacting, exchanging, absorbing, permeating each other. The quality of the work of combining the corporate culture and the size of the enterprises M&A performance influence the success or failure of enterprises M&A directly after enterprises M&A.The thesis combines the actual conditions that enterprises of our country M&A, according to the characteristic of the corporate culture while merging and acquiring, use business administration theory and the method of managing operations researching etc., to carry on an overall and deep analysis and research on the course combine problem of corporate culture during enterprises M&A.The thesis has summarized and introduced the relevant concepts and the sort of enterprises M&A, the meaning and the characteristic of corporate culture and the double characteristic of corporate culture during the process of enterprises M&A at first, in order to state the main content, necessity, importance and realistic meaning in which the corporate culture combines in course of enterprises M&A. Then, for the sake of pointing out it combines question and difficulty that may exist in course of enterprises M&A, the author has made a concrete analysis of the cultural conflict and potential cultural advantage that the corporate culture combines in course. Then introduce one kind of methods of judging the risk of the corporate culture combination in course of enterprises M&A through the setting-up of a mathematics model, expect to make people realize how great risk exists clearly before combining. This is the part of putting forward the question and analysing the question.In the part of solving the problem, the thesis mainly describes that the corporate culture is being combined in the difference of cultural conflict at different stages in course of enterprises M&A, in order to seek one efficient process for combining the corporate culture and explain concretely the necessary work which should be well done during the process. Considering a great deal of kind which enterprises M&A has, the article classifiesseveral kinds of modes suitable for choosing in combining corporate culture for concrete type of merge and acquisition in course of enterprises M&A. This text has also proposed a kind of mode based on enterprise staff for combining the corporate culture, purpose for seeking one flexible suitability extensive way to combine the corporate culture successfully in course.Finally, the thesis proves that we should pay attention to the function of unofficial organization when we combine the culture in course of enterprises M&A, because it has very great influence power to the corporate culture. Then, through analysing the cultural conflict appearing in its M&A practice of Tsingtao beer group and its succeeding in combining, the author annotates the accuracy of the view of the article and the efficiency of methods mentioned.
