Enterprise is the very important microscopic foundation of the economic growth, but a good structure of company governance decides the enterprise's achievements. The structure of company governance reform is becoming a world's front topic day by day, not only displays in the western developed countries, but also in the economical reforming countries. But the essential link of a good company governance structure is process various benefits correlation well between the relations. The modern company governance has already developed into one kind of long agent chain link. Then how to supervise and drive the agent, and enable their behavior to maintain consistently with the trustee was the key to enhance the enterprises'achievements.In a very long period of time, the shareholders believed in the pure money drove blindly. However, while superintendents'cash reward became higher and higher, company's achievement has not had any big transformation, the stock income in the shareholders'hands also is the same. This fact directly showed the superintendents'salary structure of the modern company governance to be unreasonable. We can say that, superintendents'salary structure is under the influence of synthetical factors. Then, what these factors are? How do they affect superintendents'salary structure? Those are the questions that our research should solve. The mentality of this article is first embarks from the modern joint stock company, emits the environmental factor of the system.
