Small and medium-sized enterprises (SMEs) are important sections in Chinese economy system and play a special role that can not be substituted by large-sized corporations. Marketing-economy system caused the institutional conflicts. In recent years, solving the SME's finance embarrassment becomes the discussible focus of the government and the financial area. It's an important task for us to do some research and try to find approaches to solve the "bottleneck" problems. Because of the defect in our nation's market system, indirect financing through banking is the main way for SMEs. So one effective way to cope with this problem is to establish credit guarantee system of SMEs. Credit guarantee system of SMEs is an important part of socialized service system. Through its guarantee service for SMEs, it puts into effect governmental policies for promoting the development of SMEs, raises their credit level, shares banks' credit risk and improves their financing situation.This study describes the situation of Chinese credit guarantee system, and finds the problems that exist in many aspects. They include capital, risk management, the law and operation of our nation's current credit guarantee system of SMEs. It analyzes problems that exist in the organizing mode, the operating principles, and the internal management of the credit guarantee agencies and the relative institution construction involving the governmental function, and the social credit. It also points out the external and internal factors that will bring risks to the operation of credit guarantee agencies.According to all the above problems, the article, focuses on the nucleus in the C&G System and the C&G institutions for SMEs, describes its basic system's set-up model, ways to control risk and so on in detail.
