Globalization expands the effects of multinational companies in the world economic aspect. The society has more expectations about enterprises, hoping big enterprise can assume more responsibility,such as protectting the rights of workers and consumers and maintainning the sustainable utilization of environmental resources in host countries.Related issues about corporate social responsibility have been argued for a long time by theorists and practitioners. Related questions have been hot issues since 1980s. Stakeholder theory and corporate citizenship theory make social responsibility of transnational corporations to be more rule-based, providing the most basic theoretical support. Transnational corporations are very important in world economic, so its necessary to constrain their social responsibility. The first social responsibility is conducive to the development of multinational companies;The second it can enhance the economic security of the host country;The third it is conducive to protection of the rights of workers and consumers;The fourth it can lead multinational to protect the environment and resources of the host country.The core content of social responsibility of multinational corporations expressed in human rights, labour, environment, anti-corruption, public service and many other aspects. The relevant norms of international law regulate social responsibility of transnational corporations from different perspectives.Some focus on a good extension social responsibility and some focus on the specific norms of a particular aspect of social responsibility.These norms are not only international law but also international treaties which do not have the power to enforce,called "soft law", are divided into three categories:international law norms signed by governments,direct norms with the soft binding which multinational initiative to apply and non-governmental international organizations specification.In domestic law origins,to find the deficiency of corporate social responsibility in our law,by analysing U.S. law and British law which is the best in this field.The end result of social responsibility of multinational corporations is how to improve the current commitment mechanism.It brings a new regulatory angle to the commitment mechanism of social responsibility of multinational corporations by analysing voluntary obstacle.On the level of international law, "soft law"can test the attitude and acceptance of different countries,towards social responsibility of multinational corporations and prepare for the development of "hard law".When conditions permit, international treaties can be developed consulting the practice of IOSCO.And then uniform standards monitoring system.should be developed ,on level of domestic law, on social responsibility of transnational corporations,by signing bilateral or multilateral memorandum between countries under the treaty.In national law origin, the Chinese laws and regulations could realize the full constraints on social responsibility of transnational corporations by functional complementation.the Chinese laws and regulations should make detailed provisions on the content of corporate social responsibility in variety of legal departments from principles to specific norms. To guide the practice of social responsibility of multinational corporations , and to make supervision and punishment in case of transnational corporations violating relevant laws and regulations.On the other hand, the country could develope social responsibility standards by administrative means;encourage establishing and running self-regulatory organization of Social responsibility of multinational companies;implement the relevant provisions of social responsibility of multinational corporations under the laws and regulations;and lead multinational corporations to do better social responsibility.
