Incubating enterprises are small and medium sized enterprises which are chosened by business incubator through certain procedures according to certain conditions, hatched within incubator in a certain period of time. Incubating enterprise's social capital plays an important role in incubating enterprise's knowledge acquisition and entrepreneurial performance.This paper reviews relevant literatures of social capital, knowledge acquisition, and entrepreneurial performance. Under the guidance of social capital theories, the definition of incubating enterprises' social capital is given and the the components of incubating enterprises' social capital are proposed. Based on the analysis of previous researches, the research model is put forward and the hypotheses are proposed. This paper uses the correlation analysis and regression analysis to test the hypothese. The results are as follows: structural dimension of incubating enterprises' social capital is positive related with cognitive dimensions and relational dimensions; structural dimensions, cognitive dimensions and relational dimensions of incubating enterprises' social capital have significant positive effects on its knowledge acquisition; and incubating enterprise's knowledge acquisition has positive effects on survival performance and growing performance of the incubating enterprise.But incubating enterprise's knowledge acquisition has no effects on incubating enterprise' technological innovation performance.
